THE NEXT EPISODE BY KERMA MAKE SNOOP'S BIRTHDAY 2027 IN LA OFFICIAL TERMS & CONDITIONS

1.1 This promotional campaign (the “Campaign”) is organised and operated by Kerma Games LLC, a limited liability company organised under the laws of the State of Delaware, United States, with registered office at 51 Little Falls Drive, Wilmington, Delaware 19808, United States of America, (“Kerma”, the “Promoter”, “we”, “us”). Enquiries regarding the Campaign may be directed to marketing@kermagames.com.
1.2 The Campaign is a business-to-business promotional initiative directed exclusively at gaming operators and industry professionals. It is not open to, and is not directed at, consumers or members of the general public.
1.3 The Campaign is launched on the occasion of, and coincides with, SBC Summit Lisbon 2026, but is an independent initiative of Kerma. The Campaign and the Event are not organised, sponsored, endorsed, administered by, or otherwise associated or affiliated with SBC Events Limited, SBC Summit Lisbon, or any of their organisers, affiliates or partners (together, “SBC”). SBC has no responsibility or liability whatsoever in connection with the Campaign or the Event, and any references to SBC Summit Lisbon in Campaign materials are for descriptive purposes only. All related trade marks remain the property of their respective owners.
2. ACCEPTANCE OF THESE TERMS
2.1 By participating in the Campaign or any Campaign activation, and/or by accepting an Invitation or Golden Ticket (each as defined below), each participant, nominated representative and guest (each a “Participant”) agrees to be bound by these Terms & Conditions (the “Terms”), by any activation-specific rules published for individual Campaign episodes, and by the final event rules communicated to confirmed guests.
2.2 In the event of any conflict between these Terms and any Campaign marketing material, these Terms shall prevail.
3. CAMPAIGN PERIOD
3.1 The Campaign runs from 1 October 2026 to 30 September 2027 (the “Campaign Period”) and will be launched on the occasion of SBC Summit Lisbon 2026, subject to Clause 1.3.
3.2 Golden Ticket activations (Clause 6) will take place between 1 October 2026 and 15 September 2027.
3.3 The Campaign culminates in an invitation-only event celebrating Snoop Dogg's birthday, to be held in Los Angeles, California, in October 2027 (the “Event”).
4. ELIGIBILITY
4.1 Participation is open only to:
(a) gaming operators with whom Kerma has, or is developing, a commercial relationship (“Operators”); and
(b) for Golden Ticket activations, professionals active in the gaming industry other than Operators, as further specified in the applicable activation rules.
4.2 All Participants (including plus-ones and nominated representatives) must be at least 18 years of age at the date of the relevant activation and at the date of the Event, whichever is earlier.
4.3 Each Participant must satisfy any eligibility, due-diligence and identity-verification requirements notified by Kerma, including providing valid government-issued photographic identification upon request. Failure to complete verification to Kerma's satisfaction will result in disqualification and/or refusal of entry to the Event without compensation.
4.4 Employees, officers and directors of Kerma and its affiliates, and members of their immediate families, are not eligible to receive Invitations or Golden Tickets, except where attending in a professional capacity on behalf of Kerma.
4.5 Participation is void where prohibited or restricted by applicable law. It is the responsibility of each Participant and of the organisation they represent to ensure that acceptance of an Invitation or Golden Ticket is permitted under applicable laws and under that organisation's own internal gifts, hospitality and anti-bribery policies. Kerma may withdraw an Invitation where it reasonably considers that acceptance could contravene any anti-bribery, anti-corruption, sanctions or gaming-regulatory requirement.
5. OPERATOR INVITATIONS
5.1 During the Campaign Period, Kerma will select one hundred (100) Operators, each of which will receive an Invitation for two (2) tickets to the Event(each an “Invitation”).
5.2 Selection of Operators to receive an Invitation is a curated commercial selection made at Kerma's sole and absolute discretion, based on commercial, strategic, eligibility and compliance considerations. Operator selection is not conducted as a competition, prize draw or contest, and is not based on any fixed or published scoring criteria. Participation in any Campaign activation, event or communication does not create any right, expectation or entitlement to selection or to an Invitation.
5.3 Invitations are issued to the selected Operator as an organisation, not to any named individual, unless otherwise stated by Kerma in writing.
6. GOLDEN TICKETS
6.1 In addition to Operator Invitations, ten (10) “Golden Tickets” will be awarded through designated Campaign activities taking place between 1 October 2026 and 15 September 2027. Each Golden Ticket entitles the recipient to two (2) tickets to the Event, on the same basis as Clause 7.
6.2 Golden Ticket activations are open to gaming industry professionals (and are not limited to Operators). The specific mechanics, entry requirements and award criteria for each Golden Ticket activation will be published or communicated at the time of the relevant activation and form part of these Terms.
6.3 Participation in any activation does not automatically entitle a Participant to a Golden Ticket. Winners will be determined in accordance with the applicable activation rules and, where selection is discretionary, at Kerma's sole discretion.
7. NOMINATION, PLUS-ONES AND TRANSFERS
7.1 Each Invitation and Golden Ticket comprises two (2) tickets, which may be used as follows:
(a) by one authorised representative of the selected Operator (or, for Golden Tickets, the recipient) together with one personal guest (“plus-one”); or
(b) by two authorised representatives of the selected Operator's organisation.
7.2 “Authorised representative” means a director, officer or employee of the selected organisation, nominated in writing by that organisation's designated contact. Nominations must be submitted to Kerma via the nomination process notified to selected Operators, and must include each attendee's full legal name (as it appears on their travel identification), date of birth, nationality, company and role, and contact details.
7.3 Nominations and any substitutions must be received by Kerma no later than the confirmation deadline in Clause 8.1. Thereafter, substitutions are permitted only at Kerma's discretion and subject to completion of identity verification and security checks, and in no event later than the cut-off date notified to confirmed guests.
7.4 Save as set out in this Clause 7, Invitations, Golden Tickets and tickets are strictly personal and non-transferable. They may not be sold, auctioned, traded, offered as a prize in any third-party promotion, or otherwise transferred for value. Any ticket dealt with in breach of this Clause will be void and admission will be refused.
7.5 All plus-ones and nominated representatives must themselves satisfy the eligibility and verification requirements in Clause 4 and accept these Terms and the final event rules as a condition of attendance.
8. CONFIRMATION OF ATTENDANCE
8.1 (a) Selected Operators and Golden Ticket recipients must confirm their availability and intention to attend the Event, and submit their attendee nominations, within 10 calendar days of the date of notification of their selection (in each case, the "Confirmation Deadline"), and in any event no later than 22 September 2027, following the confirmation process notified by Kerma.
(b) Operators and Golden Ticket recipients notified of their selection after 30 June 2027 (including through activations running up to 15 September 2027) must confirm their availability and intention to attend the Event, and submit their attendee nominations, within ten [10] calendar days of the date of notification (which shall also constitute the "Confirmation Deadline" applicable to that recipient), and in any event no later than 22 September 2027, to allow sufficient time for identity verification, security screening and Event logistics.
8.2 If confirmation is not received by the Confirmation Deadline, or if a confirmed attendee subsequently fails verification or withdraws, the relevant Invitation or Golden Ticket may be forfeited without compensation, and Kerma may (but is not obliged to) reallocate it at its discretion.
8.3 Confirmation of attendance does not constitute a guarantee of admission. Attendance remains subject at all times to: (a) satisfactory completion of identity verification; (b) venue capacity, entry and security requirements; (c) any health, safety or regulatory requirements in force at the time of the Event; and (d) acceptance of, and compliance with, the final event rules.
9. THE EVENT
9.1 The exact date, venue, schedule and logistical details of the Event will be communicated privately and confidentially to confirmed guests. Participants must keep such details confidential and must not publish or share them without Kerma's prior written consent.
9.2 The Event is a private, invitation-only function. Kerma and the venue reserve the right to refuse entry to, or remove from the Event, any person who fails verification or security screening, breaches the event rules or these Terms, is or appears to be intoxicated, or whose behaviour is, in Kerma's reasonable opinion, inappropriate, unsafe or damaging to Kerma's reputation – in each case without compensation.
9.3 Kerma has engaged Snoop Dogg to headline the Event, and the Campaign is built around that celebration. As with any live event, his participation — and the exact format, content and schedule of the Event — may be affected by circumstances beyond Kerma's or the artist's reasonable control (such as force majeure circumstances described in Clause 15). Should this occur, Kerma will act reasonably to preserve the spirit and quality of the Event, but any resulting change shall not entitle a Participant to compensation.
10. TRAVEL, EXPENSES AND VISAS
10.1 Invitations and Golden Tickets cover admission to the Event only. Flights, accommodation, visas, ESTA or other travel authorisations, travel and health insurance, ground transfers, meals outside the Event and all other travel-related costs are NOT included and must be arranged and paid for by attendees or their organisations.
10.2 It is each attendee's sole responsibility to hold a valid passport and to obtain any visa or travel authorisation required to enter the United States. Failure to obtain such documentation, or refusal of entry by any border authority, shall not give rise to any liability of Kerma or any right to compensation or an alternative benefit.
10.3 Attendees are strongly advised to hold adequate travel and medical insurance. Attendance at the Event is at each attendee's own risk.
11. NO CASH VALUE; NO ALTERNATIVES
11.1 Invitations, Golden Tickets and Event tickets have no cash or monetary value, are not redeemable or exchangeable for cash, credit or any alternative prize or benefit, and may not be used for any commercial purpose.
11.2 If an attendee is unable to attend for any reason, no compensation, refund or substitute benefit will be provided.
12. PRIVACY AND PERSONAL DATA
12.1 In connection with the Campaign and the Event, Kerma will collect and process personal data of Participants and their guests, including name, date of birth, nationality, employer, role, contact details, identification documents and, where relevant for venue access, security-screening information.
12.2 Personal data will be processed for the purposes of administering the Campaign, verifying eligibility and identity, managing invitations and Event access, meeting security, safety and legal obligations, and – subject to Clause 12.4 – sending Campaign-related and promotional communications. Processing will be carried out in accordance with applicable data protection laws (including, where applicable, the EU/UK General Data Protection Regulation and applicable US state privacy laws) and with Kerma's privacy notice available at [privacy policy URL].
12.3 Personal data may be shared with Kerma's affiliates and with third-party service providers engaged for the Campaign and the Event (including event organisers, venue operators and security providers), and may be transferred internationally, including to the United States, subject to appropriate safeguards required by applicable law.
12.4 By participating, Participants consent to receiving communications relating to the Campaign and the Event. Marketing and promotional communications will be sent in accordance with applicable law, and recipients may opt out at any time using the mechanism provided in each communication; opting out of marketing will not affect essential Campaign or Event communications.
12.5 Participants are responsible for ensuring that any plus-one or nominated representative whose personal data they submit to Kerma has been informed of, and where required has consented to, the processing described in this Clause 12.
13. FILMING, PHOTOGRAPHY AND PUBLICITY
13.1 The Campaign and the Event will be filmed, photographed and recorded. By attending the Event or participating in any Campaign activation, each Participant grants Kerma and its affiliates a worldwide, royalty-free, perpetual licence to record, use, reproduce, edit, publish and distribute their name, image, likeness, voice and statements in photographs, video and audio captured in connection with the Campaign or the Event, for use in connection with Campaign, Event and marketing activities, including promotional, advertising, social media, public relations, corporate and other marketing communications connected to THE NEXT EPISODE by Kerma and to Kerma generally, in any media and on any platform now known or later developed (including television, print, websites and social media channels), without further notice, approval or compensation.
13.2 A Participant who does not wish to be featured in promotional materials should notify Kerma in writing before the Event; Kerma will use reasonable efforts to accommodate such requests but cannot guarantee that a Participant will not appear incidentally in crowd or general footage.
13.3 Nothing in this Clause obliges Kerma to use any Participant's image or name.
14. LIMITATION OF LIABILITY
14.1 To the maximum extent permitted by applicable law, Kerma, its affiliates and their respective directors, officers, employees and agents shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, revenue, goodwill or opportunity, arising out of or in connection with the Campaign or the Event.
14.2 To the maximum extent permitted by applicable law, Kerma's total aggregate liability to any Participant arising out of or in connection with the Campaign and the Event shall not exceed USD 1,000.
14.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited by applicable law.
14.4 Kerma is not responsible for the acts or omissions of airlines, hotels, venues, transport providers or other third parties, nor for any failure, disruption or error in any network, platform or system used in connection with the Campaign that is beyond Kerma's reasonable control.
15. CHANGES, SUSPENSION AND CANCELLATION
15.1 Kerma reserves the right to amend these Terms, and to modify, suspend or cancel the Campaign, any activation, or the Event (in whole or in part), where necessary due to circumstances beyond its reasonable control – including force majeure events, artist unavailability, venue unavailability, safety or security concerns, epidemic or public-health measures, governmental or regulatory action, or changes in applicable law – or where the integrity, fairness or lawful operation of the Campaign would otherwise be compromised.
15.2 Where reasonably practicable, Kerma will notify Participants of material changes. If the Event is cancelled or a Participant's attendance becomes impossible for reasons within this Clause 15, Kerma may, at its sole discretion, offer an alternative benefit but is not obliged to do so, and shall have no further liability to Participants.
15.3 Kerma reserves the right to disqualify any Participant and void any Invitation or Golden Ticket where it reasonably suspects fraud, tampering, breach of these Terms or of any activation rules, or conduct incompatible with the spirit of the Campaign.
16. GENERAL
16.1 These Terms, together with the applicable activation rules and final event rules, constitute the entire agreement between Kerma and each Participant in relation to the Campaign and supersede all prior communications relating to it.
16.2 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 No failure or delay by Kerma in exercising any right under these Terms shall operate as a waiver of that right.
16.4 These Terms do not create any employment, agency, partnership or joint-venture relationship between Kerma and any Participant, and nothing in the Campaign constitutes an offer, inducement or reward in relation to any regulatory, licensing or commercial decision.
17. GOVERNING LAW AND JURISDICTION
17.1 These Terms and any dispute or claim arising out of or in connection with them or the Campaign (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.
17.2 The state and federal courts located in the State of Delaware shall have exclusive jurisdiction over any such dispute or claim, and each Participant irrevocably submits to the jurisdiction of those courts. This Clause is without prejudice to any mandatory rights or protections that a Participant may enjoy under laws that cannot be derogated from by agreement.
